Shopper+ PLUS MEMBER - TERMS AND CONDITIONS
The PLUS Member Program is a membership reward program offered by Shopper+ Inc. to its Canadian resident customers only by participating online at www.shopperplus.ca, www.123ink.ca and www.primecables.ca (Shopper+ family sites) (the “PLUS Member Program” or the “PLUS Membership”).
These Shopper+ PLUS Member Terms and Conditions were last updated on September 30, 2023, and are in addition to the regular Shopper+ Terms and Conditions (collectively the “Terms and Conditions”).
Membership is subject to any and all rules adopted by Shopper+ including our privacy policies and practices, as modified from time to time.

AGREEMENT TO THE TERMS AND CONDITIONS
- These Terms and Conditions form a binding agreement between you and Shopper+. Enrolment, participation is and use of the PLUS Member Program, signifies an agreement to abide by and respect the most updated version of the Terms and Conditions each time the PLUS Member Program is accessed. It also signifies an active agreement to abide by and respect Shopper+’s Privacy Policy, which is incorporated into and forms part of these Terms and Conditions.
- IF THERE IS NO AGREEMENT TO THESE TERMS AND CONDITIONS, STOP USING THE PLUS MEMBER PROGRAM IMMEDIATELY.
PLUS MEMBERSHIP ELIGIBILITY
- The PLUS Member Program is open ONLY to legal residents of Canada who have reached a minimum age of sixteen (16) years old and who meet the eligibility requirements described herein. Shopper+ reserves the right to request proof of age at any time.
- When a customer purchases a Flash Pass (as defined at Section 5 below), they can initiate or renew a PLUS membership. Upon approval of their application by Shopper+, each PLUS Member is granted a membership term based on the purchased Flash Pass plan. At the end of this term, PLUS Members may choose to renew their PLUS Membership for an additional term at the prevailing Membership Fee.
- If a PLUS Member elects not to continue their PLUS Membership, their PLUS Member Account shall be automatically converted to the regular customer account (subject to compliance with the terms and conditions of that program).
- The PLUS Member Program is only available to individual persons and is not available: (i) as a shared account (including family accounts); or (ii) to legal entities such as corporations, businesses, charities, partnerships, enterprises, or schools, unless Shopper+, in its sole discretion, provides advance written approval; or (iii) to resellers and business accounts. If it is discovered that certain legal entities are abusing individual user accounts to place orders for commercial purposes, once determined, orders will be invalidated and they may face the cancellation of their business account with Shopper+. Shopper+ retains the authority to make decisions pertaining to improper commercial conduct.
- Shopper+ offers, and may offer from time to time, different membership programs, including the Privileged Member Program, and PLUS Member Program. Only one Shopper+ account is permitted per individual at any one time, meaning that an individual can only have one Shopper+ account at any given time.
ENROLMENT AND ADMINISTRATION
- To enrol in the PLUS Member Program, an individual who satisfies the eligibility requirements (as set forth by Shopper+ in its sole discretion) may sign up at the Shopper+ family sites. The individual’s first name, last name, and valid email address are required to enrol. During the enrolment process, an individual may also be asked to provide optional information, such as mailing address, birth date, preferred language or telephone number, but enrolment is not dependent on providing this information.
- Shopper+ will review each enrolment request for accuracy and completion, and if satisfactory, will issue a PLUS Membership to the applicant. Shopper+ reserves the right to refuse the issuance of a PLUS Member Account to any individual who does not meet the eligibility requirements or does not follow the prescribed enrolment procedures set out below.
- PLUS Membership applies only to the individual PLUS Member account holder.
- PLUS Membership is non-transferable.
- Members are responsible for protecting and keeping their PLUS Member Account information accurate, confidential and up-to-date.
- Members agree to promptly advise Shopper+ of any changes to personal information including name and email address, by contacting our Customer Service Centre. Shopper+ will not be held liable for misdirected email communications, including any notices under these Terms and Conditions or any consequences where personal information is inaccurate or no longer valid. If we believe that our records are inaccurate, we may contact Members to verify and update our records.
- Shopper+ refuses the liability or responsibility for PLUS Membership benefits redeemed by any person(s) before our Customer Service Centre has been notified that the PLUS Member account has been compromised, lost or stolen. Any benefits redeemed prior to such notification to our Customer Service Centre shall be at the PLUS Member’s risk.
ENROLMENT FEES
- PLUS Membership can be purchased through "FLASH PASS", and will be effective immediately.
- The pricing for the PLUS Member Flash Pass is subject to change at any time. Shopper+ exclusively reserves the right to adjust the price. Please note that the Flash Pass is non-refundable, non-adjustable in price, and non-transferable.
FLASH PASS
- Payment of the applicable Membership Fee and approval of the application by Shopper+ grants each PLUS Member a membership term aligned with the purchased Flash Pass plan. At the end of this term, PLUS Members may choose to renew their PLUS Membership for an additional term at the prevailing Membership Fee.
- Flash Pass is for individual use only and cannot be shared.
- Flash Pass excludes resellers and business accounts.
- Flash Pass is a final sale and cannot be returned or refunded.
- Shopper+ reserves the right to terminate the Flash Pass or any part of it at any time.
PLUS MEMBER PROGRAM BENEFITS AND ELIGIBLE PURCHASES
- The PLUS Member Program allows PLUS Members to purchase a variety of products at exclusive PLUS prices at Shopper+ family sites. Selected items only. Coupons cannot be combined to use, select one of them in the shopping cart. The PLUS Member pricing is subject to change overtime, and it excludes any provision for 'price matching'. Shopper+ reserves the right to modify product prices. The price is subject to the final settlement as stated on the checkout page. Additionally, Shopper+ retains the right to impose supplementary charges for special orders, including, but not limited to: (i) orders dispatched to remote areas, (ii) shipments directed to addresses identified by PO boxes.
- Under the PLUS Member Program, PLUS Members may, from time to time, be eligible for a special sale price in addition to the standard PLUS Member pricing.
- Coupons cannot be combined to use with other Shopper+ offers, select only one of them in the shopping cart.
- The PLUS Member Program allows PLUS Members to enjoy exclusive access to Coupons, Promotional Events and Free Gifts from time to time. These benefits are not transferrable. Coupons cannot be combined with other Shopper+ offers, select only one of them in the shopping cart.
- PLUS items may have limited quantity and time releases. First come, first served. Shopper+ reserves the right to adjust any order if the available quantity is depleted.
- In order to protect consumers' purchasing needs, ensure fair trading opportunities, and deter inappropriate activities, including the acquisition of goods for non-domestic purposes or hoarding for speculative price manipulation, herein defined as 'abnormal orders,' Shopper+ reserves the right to invalidate any order deemed in Shopper+’s sole discretion to be an abnormal order. Abnormal orders include, without limitation, the following: (i) substantial ordering activities conducted by a single user, defined as either 1) the utilization of the same user ID, or 2) the use of different user IDs, which display identical, proximate, or fictitious shipping addresses, contact numbers, recipients, payers, payment accounts, or IP addresses; (ii) orders that exceed prescribed purchase limits, typically as a Plus member of Shopper+, the monthly limit for purchasing a specific member product is 10 units; or (iii) any additional transactions not intended for domestic consumption.
- Plus Member Program "Eligible Purchases" are Shopper+ products and services specifically marked as eligible for benefits. Eligible Purchases are subject to exclusions, which are posted at Shopper+ family sites and updated periodically.
PRIVACY
- We respect the privacy of all personal information. Please review our Privacy Policy for how we collect, use, disclose and manage your personal information.
EXPIRY/SUSPENSION/TERMINATION OF A MEMBERSHIP
- The PLUS Member Program is the property of Shopper+. Shopper+ reserves the right to refuse, cancel or revoke membership at any time in the event of (i) a breach of the Terms and Conditions by a PLUS Member, (ii) misuse or abuse of the PLUS Member Program by a PLUS Member, (iii) fraud, and/or (iv) any other actions deemed by Shopper+, at Shopper+’s sole discretion, to be contrary to the PLUS Member Program or the interests of its PLUS Members. If participation in the PLUS Member Program is cancelled or revoked, all Benefits in a PLUS Member account may be forfeited and removed.
- Shopper+ reserves the right to restrict redemption or put a “hold” on the PLUS Member Account and benefits within the PLUS Member Account for up to ninety (90) days if Shopper+ has a reasonable belief that fraud has occurred on or during the use of an account or in the event of a breach or suspected breach of the Terms and Conditions.
TERMINATION OF THE PLUS MEMBER PROGRAM
- Shopper+ reserves the right to terminate the PLUS Member Program, or any part of it, and Shopper+ will provide thirty (30) days prior written notice on the Shopper+ family sites in such case.
DISCLAIMER OF REPRESENTATIONS, WARRANTIES AND CONDITIONS
- USE OF THE PLUS MEMBER PROGRAM IS AT THE USER’S OWN RISK. THE PLUS MEMBER PROGRAM AND ALL INFORMATION, CONTENT, AND MATERIALS INCLUDED ON OR OTHERWISE MADE AVAILABLE TO USERS THROUGH THE PLUS MEMBER PROGRAM ARE PROVIDED BY SHOPPER+ ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED OR ARISING BY STATUTE, USAGE, TRADE, CUSTOM OR OTHERWISE. WITHOUT LIMITING THE GENERALITY OF THE PRECEDING SENTENCE, SHOPPER+ EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF OR RELATING TO ACCURACY, COMPLETENESS, ACCESSIBILITY, TITLE, MERCHANTABLE QUALITY, DURABILITY, PERFORMANCE AND FITNESS FOR A PARTICULAR PURPOSE.
GOVERNING LAW
- Terms and Conditions and all related matters are governed solely by the laws of the Province of Quebec, Canada and the applicable federal laws of Canada, without regard to conflict of laws principles, and all disputes shall be resolved before the Courts of Quebec, sitting in the City of Montreal. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
GENERAL
- Shopper+’s failure to exercise any of its rights, powers or remedies in these Terms and Conditions or at law, or any delay in doing so, does not constitute a waiver of those rights, powers or remedies. The single or partial exercise of a right, power or remedy does not prevent its subsequent exercise or the exercise of any right, power or remedy.
- Words in the singular form shall be construed to include the plural and vice versa unless the context otherwise requires, and the word “including” means “including but not limited to”.
- Each of the provisions contained in these Terms and Conditions is distinct and severable and a declaration on validity or unenforceability of any such provisions or part thereof by a court of competent jurisdiction, will not affect the validity or enforceability of any such other provisions of these Terms and Conditions.
